What You'll Do
Iodine is seeking a VP of Legal & Compliance Officer to manage legal matters across our quickly growing organization. We're looking for a "legal athlete" who is motivated by working across a variety of legal disciplines and is excited by the opportunity to establish an in-house legal function. This is a senior role that reports to the CFO.
As the Vice President of Legal and Compliance Officer for the organization, you will be responsible for overseeing the legal & compliance initiatives and operations. In this role, you will collaborate with various levels of leadership, cross-functional teams on a diverse range of issues encompassing SaaS licensing, technology agreements, intellectual property matters, mergers and acquisitions, HIPAA and data privacy regulations, human resources, as well as compliance and regulatory policies. Additionally, you will take the lead in managing transactional contract negotiations with major healthcare systems and ensuring adherence to privacy and compliance protocols. Leveraging external specialists when necessary, you will oversee the development and implementation of robust privacy and compliance programs. Specifically, this role will:

  • Lead the Legal & Compliance department's day-to-day operations, initiatives and team members to achieve departmental and organizational goals initiatives.
  • Collaborate with leadership, sales, product, and other cross functional teams on various legal matters including:
    • Customer SaaS licensing agreements
    • Technology agreements
    • Intellectual property issues
    • Mergers and acquisitions
    • HIPAA and data privacy regulations
    • Human resources
    • Compliance and regulatory policies
  • Direct transactional contract negotiations with major healthcare systems.
  • Ensure company-wide adherence to privacy and compliance protocols.
  • Develop and implement robust compliance programs to meet regulatory requirements.
  • Coordinate with external specialists as necessary to address legal and compliance challenges.


What You'll Need
Minimum Requirements:

  • License to practice before a State Bar.
  • 10+ years of experience as a technology transactions attorney.
  • 5+ years of in-house experience with a track record of working well with management and collaborating with outside counsel effectively.
  • Skills in SaaS and other contract negotiations and have the ability to assess and mitigate legal risk.
  • Hands-on M&A experience.
  • Experience in healthcare law and compliance, including Business Associate Agreements, HIPAA/HITECH, data privacy, and security practices.
  • Ability to track and analyze legislation and regulations that may affect the company's business and advise on these changes and risks.
  • Energy and drive to build an in-house legal function at a hypergrowth organization.
  • Preferred that the candidate be located in Austin, Texas. CIPP/US certification is a plus.
