Cision seeks a Corporate Counsel to draft, negotiate, and review contracts, offer legal advice across business units, and support compliance activities.
Cision is seeking a full-time attorney to join its Legal Department. We are seeking an attorney with strong transactional experience to work closely with sales staff, marketing teams and other business groups within Cision on contract matters.
What you'll do
- Draft and negotiate commercial contracts for various business units including NDAs, MSAs, technology agreements, partnership agreements and vendor contracts
- Provide legal support on transactional, corporate governance and compliance activities
- Provide support and day-to-day legal advice to Cision’s various business units including IT, and international entities
- Advise on various other commercial initiatives within Cision which may include compliance activities and policies
- Review key RFPs and proposal responses for legal compliance
- Coordinate training and awareness activities for Sales related to business issues and standard counterarguments
- Research and analyze various legal issues
- Perform other duties as required
What you have
- JD degree from an ABA accredited institution and active Bar membership
- 5+ years of legal experience, preferably with 3-5 years software and services contract drafting and negotiation experience in the technology field
- Familiarity with legal/licensing concepts such as intellectual property, limitations of liability, indemnification, etc.
- Familiarity with technology and/or software-as-a-service (SaaS) licensing a plus
- Excellent written and verbal communication skills
- Computer skills, especially Microsoft Office
- Ability to prioritize and work under tight deadlines in a service oriented and sales-driven environment
- Strong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels within the organization
- Organized, efficient and able to handle multiple tasks with ease and professionalism
- Willingness to master new and unfamiliar areas of practice
- Preferred but not required: Notary public
