Job Description

The Contracts Counsel will support Experian Consumer Services and Partner Solutions. You will negotiate contracts with Experian's business clients, covering agreements like software licensing, SaaS, consulting, professional services, analytics, NDAs, evaluation agreements, and standard terms and conditions. Reporting to the Senior Contracts Director, you will find solutions that meet business and legal needs, ensuring compliance with Experian policy and regulations. You will coordinate with stakeholders in legal, compliance, product marketing, finance, and other groups to complete transactions. Additionally, you will enforce contracting policies, assist the sales team with client contracts, advise management on terms and risks, and train sales and other departments on contract issues and negotiation strategies.

Qualifications

  • BA Required; JD preferred
  • 1+ years plus of experience structuring, drafting, and negotiating software licensing, professional services, SaaS, analytics, and complex commercial agreements for large financial institutions, telecoms, utilities, FinTech, and other types of business clients, in a corporate or other environment
  • Experience with legal concepts such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality
  • Lead negotiations, understanding how to balance risks and opportunities to reach a mutually acceptable agreement in a way that will not alienate clients
  • Advise executive leaders of contract risk associated with certain arrangements (including C level executives and Presidents)
  • Experience with contract law and legal concepts, including their practical application in a business environment (UCC-uniform commercial code or similar, desirable)
  • Draft documents quickly, completely, including "novel" non-templated language
  • Some travel may be required for team meetings at corporate or for on-site contracts negotiations
